L40º, an M&A firm headquartered in Miami that specializes in sell-side advisory for AI and software companies, announced its role in the transaction.

Runtime’s entry into Latin America occurs as North American software purchasers increasingly turn to the region for technology acquisition prospects

A deal only materializes when the buyer’s thesis, the seller’s goals, and the timing all align. If any one of those elements is absent, nothing else can make it work.”— Manuel Amor, Partner at L40° MIAMI, FL, UNITED STATES, August 13, 2026 /EINPresswire.com/ — L40°, a cross-border M&A advisory firm concentrating on software, technology, and AI enterprises, revealed that it acted as the exclusive M&A advisor to Elipse.ai during its purchase by Runtime Enterprises Inc. This marks the Canadian software holding firm’s initial foray into Latin America.

Elipse.ai, a Chilean artificial intelligence company, focuses on conversational AI agents for voice, telephony, and WhatsApp, catering to over 100 enterprise clients in seven countries, with a notable foothold in healthcare. Runtime Enterprises is a Canadian holding company that acquires and retains software and technology-enabled services businesses over the long term.

This multi-million-dollar deal provides Elipse.ai with sustained support for its next phase of international growth and ongoing investment in artificial intelligence. Following the acquisition, Elipse.ai will keep its current brand, management team, and operational autonomy. Specific financial details were not made public.

“From day one, our goal was to create a lasting company, always prioritizing our customers and our team,” said Aleksis Archiles, Co-CEO of Elipse.ai. “With Runtime, we discovered a partner that shares this philosophy and recognizes that enduring companies are built over decades, not quarters.”

Growing Demand from Buyers for Latin American Software
Runtime’s first investment in Latin America arrives as North American and other international software holding companies expand their acquisition efforts into the area, broadening the pool of potential buyers for established Latin American technology firms.

L40° is witnessing increased interest from software holding companies, strategic acquirers, and financial buyers who are evaluating Latin American businesses with recurring revenue, solid customer bases, and the capacity to scale internationally.

The Elipse.ai process exemplified this trend. The company drew interest from both strategic and financial purchasers and received multiple letters of intent, including from Latin American parties, before finalizing the deal with Runtime, an international acquirer entering the region for the first time.
Regional and international buyers do not always assess the same business in identical ways. Variations in strategic priorities, geographic aspirations, available capital, and ownership structures can impact both valuation and deal terms, making a broader cross-border buyer pool especially valuable for Latin American technology companies.

“A deal only materializes when the buyer’s thesis, the seller’s goals, and the timing all align. If any one of those elements is absent, nothing else can make it work,” said Manuel Amor, Partner at L40° and lead advisor on the deal.

International buyers also tend to closely examine a company’s ability to expand across markets, along with factors like customer concentration, revenue retention, and corporate structure. For businesses already operating in multiple countries, clean legal entities, intercompany relationships, and transfer-pricing documentation can become critical aspects of cross-border due diligence.

Details of the Transaction
Elipse.ai has developed an AI-driven communications platform that integrates generative AI voice agents, enterprise telephony, WhatsApp, and messaging to automate both inbound and outbound customer interactions.

Its technology supports functions such as appointment scheduling and reminders, contact campaigns, and automated call handling, with a particularly robust presence among healthcare organizations throughout Latin America.

The company manages over 20 million appointments each year, and its technology is utilized by healthcare institutions that serve roughly 25% of Chile’s Fonasa beneficiary population.

Elipse.ai currently operates in Chile, Peru, Colombia, Mexico, Argentina, Venezuela, and Spain. Together with Runtime, the company aims to surpass US$10 million in annual recurring revenue by 2027.

Runtime acquires and holds software and technology-enabled services businesses under a long-term ownership model. Following the deal, Elipse.ai will retain its existing identity and leadership while gaining additional resources to fuel international expansion and continued investment in its AI capabilities.
