The merged entity will be known as iT1 Nucleos LLC.

The unified organization will accelerate what neither enterprise could achieve on its own: delivering high-caliber education, credentials, and career routes at scale to learners who have historically been shut out, including incarcerated adults, individuals reentering society, working adults, and students in under-resourced K–12 and community college settings. For years, iT1 has served as Nucleos’s channel for sales, hardware, infrastructure, and managed services, jointly deploying solutions to universities, community colleges, school districts, state corrections departments, county jails, and juvenile facilities. This acquisition formalizes that collaboration under one corporate structure.

Launched in 2015, Nucleos created AchieveDXP, a digital experience platform that consolidates identity, security, analytics, and learning records across more than 185 course providers and learning tools. Its integrated partners include Coursera, WGU, EssentialEd, GoEducate, CareerEdge, Geographic Solutions, HonestJobs, Canvas, Blackboard, CypherWorx, iCEV, NCCER, and IXL. Currently, AchieveDXP is in operation across more than 40 deployments spanning 10 U.S. states, serving over 15,000 learners annually and recording more than 17,000 course completions.

The financial details of the transaction have not been disclosed.
